Correcting an Already Approved Condominium Report

An approved report is not untouchable. Here is when and how the owners' meeting can correct accounts already resolved and what the alternatives are if an error emerges after the vote.

An already approved condominium report can be corrected by the same meeting through a new resolution, because the meeting is sovereign over its own accounting decisions and may fix errors, miscalculations, or wrong items that emerge after the vote. Alternatively, an individual owner may challenge the approval resolution before a court within thirty days under Article 1137 of the Italian Civil Code if the defect makes it voidable. The route of a rectification by the meeting is almost always preferable because it is faster and cheaper.

Approval does not crystallise errors

Approval of the report by the meeting, provided for by Article 1135, no. 2, of the Italian Civil Code, does not turn a wrong figure into a correct one. If after the vote an error, an unrecorded payment, a duplicated invoice, or a wrong allocation emerges, the accounts remain incorrect in substance. The resolution is formally valid until annulled, but nothing prevents the meeting from revisiting the matter and correcting what was approved.

The rectification resolution

The ordinary tool is a new resolution by which the meeting, reconvened by the manager, acknowledges the error and approves the corrected report. The rectification must be clearly placed on the agenda, with a statement of the changes attached, so that every owner understands what changes and why. The rectification resolution replaces the previous one in the corrected part and produces a new allocation for the affected shares.

When unanimity is required and when a majority suffices

If the rectification concerns a mere calculation error or the wrong application of a criterion that is correct in the abstract, the majority required to approve the report is enough. If instead the correction affects the statutory or contractual allocation criteria by changing them, unanimity is required, because according to the case law of the Joint Chambers a resolution that changes the allocation criteria set by law or by a contractual regulation without everyone's consent is null.

The difference between nullity and voidability

Understanding the type of defect is decisive in choosing the right route. Voidable resolutions must be challenged within thirty days, after which they become final. Null resolutions, on the other hand, can be asserted without time limits by anyone with an interest. A material calculation error or the wrong application of the tables makes the resolution voidable; the breach of statutory allocation criteria or an impossible object makes it null.

Operational steps for rectification

  • Identify the error precisely and quantify its effect on the allocation
  • Prepare the corrected report and a comparison statement against the approved one
  • Convene the meeting placing the rectification on the agenda
  • Explain the change at the meeting and minute the new approval
  • Recalculate the allocation and inform each owner of the credit or debit adjustment

Effects on adjustments

Rectification often produces adjustments: those who had overpaid have a credit, those who had underpaid must top up. It is good practice not to offset automatically against future instalments without informing the owners, but to account transparently for the changes, so as to prevent new disputes. If an owner has already filed a challenge, the rectification can end the subject matter of the dispute.
