How to Attach Works Quotes to the Notice of Meeting

When the owners' meeting must resolve on works, the quality of the decision depends on the quality of the quotes attached to the notice. If owners vote without having been able to compare like-for-like offers, the resolution is weaker and the choice of contractor more exposed to challenge. It is not enough that quotes exist: they must be comparable, cited in the text of the item and available well in advance. For extraordinary maintenance and improvements, moreover, Article 1135 of the Italian Civil Code requires setting up a special fund equal to the amount of the works, an element to be anticipated in the agenda itself. This guide explains how to prepare, attach and present quotes so the resolution holds.

Checklist for attaching quotes correctly

  1. Collect at least two or three quotes for significant works, so the meeting can compare.
  2. Ask contractors for a homogeneous specification, with the same line items and units.
  3. Check that each quote separates the net amount, VAT and the applied rate.
  4. Expressly cite each quote in the text of the agenda item.
  5. Make the quotes available with the notice or for inspection before the meeting.
  6. If the works are extraordinary or improvements, provide for the special fund under Article 1135 c.c.
  7. State the majority required for the matter, ordinary or qualified.

Why quotes must be comparable

Three quotes describing the same works with different line items are not comparable: one may include disposal and scaffolding, another may not, and the meeting risks choosing the cheapest without realising it covers fewer tasks. Comparability starts upstream, by asking contractors to respond to a common specification with the same line items.

Comparable quotes let the owner assess not only the total price but also what is included, the timescales, the guarantees and the payment terms. A decision taken on comparable bases is more defensible if challenged, because it shows the meeting chose with knowledge.

How to cite quotes in the text of the item

Attaching documents is not enough: the agenda item must name them, so the owner knows they exist and must consult them. An effective wording states the subject of the works, the reference to the attached quotes and the approximate amount, for example with the phrase approval of the works on the basis of the attached quotes, for an indicative amount of.

The explicit reference has evidential value: it shows the quotes were part of the documentation available to owners before the vote. An item that speaks generically of works without referring to the attached documents leaves room for anyone claiming they could not assess the chosen offer.

Making attachments available well in advance

Quotes must be made available together with the notice or with enough lead time to allow examination. There are two routes: physically attaching them to the notice, or stating how and where owners may consult them, for example at the office or in a reserved online area. The second option reduces the burden of mailing but requires that access is genuinely easy.

In practice, keeping the agenda item and its attachments together becomes complicated when there is more than one set of works. A condominium management software such as AmministraPro lets you associate the quotes to each item, share them with owners in a reserved area and generate the notice that cites them, so the manager documents having given access to the documentation before the vote. The features are described on the features page and the plans on the pricing page.

The special fund for extraordinary works

For extraordinary maintenance and for improvements, Article 1135 of the Italian Civil Code requires that the meeting, if it proceeds with the works, set up a special fund equal to the amount of the works. If the works are carried out under a contract providing for payment by stages of completion, the fund may be set up in relation to the individual payments due.

This means the chosen quote serves not only to decide the contractor but also to quantify the fund to be resolved at the same time. Anticipating it in the agenda, stating that the setting up of the special fund will also be resolved, prevents the topic from surfacing by surprise in the meeting and makes the vote more straightforward.

Distinguishing amounts: net, VAT and deductions

A clear quote separates the net amount from VAT and states the applied rate, which for some building works may be reduced. Presenting gross amounts to the meeting without breaking them down creates confusion and debate, especially when owners want to understand the impact on their own share.

When the works may qualify for tax deductions, it is useful for the manager to flag it without promising outcomes that depend on each owner's tax position: the choice to use the relief remains the owner's. Presenting the figures transparently, distinguishing gross cost and potential benefit, helps the meeting resolve knowingly.

Frequently asked questions

How many quotes must be attached to resolve on works?

The law sets no minimum number, but the prudent practice for significant works is at least two or three comparable quotes, so the meeting can choose with knowledge and the resolution is less exposed to challenge. For minor or urgent works a single quote may suffice, provided the item is clear and the amount stated. Comparability matters more than the number.

Must quotes always be mailed with the notice?

Not necessarily as a physical attachment: it is enough that owners can consult them well in advance, attached to the notice or for inspection at the office or in a reserved online area, provided access is easy. What matters is that the agenda item cites the quotes and that their availability before the vote is documentable.

What is the special fund and when must it be set up?

It is the fund under Article 1135 of the Italian Civil Code that the meeting must set up, equal to the amount of the works, when it resolves on extraordinary maintenance or improvements. If the contract provides for payment by stages of completion, the fund may be set up in relation to the individual payments due. It is best to state its setting up in the agenda item itself.

Must a quote state VAT separately?

A clear quote separates the net amount from VAT and states the rate, which for some building works may be reduced. Presenting gross amounts to the meeting without breaking them down creates uncertainty over the impact per share. Transparency on amounts helps owners assess the expense and reduces debate during the vote.

How do you keep track of quotes linked to each item?

The tidiest way is to link each quote to the agenda item it refers to and keep them together with the minutes. A management tool such as AmministraPro lets you associate quotes to individual items, share them with owners and generate the notice that cites them, keeping traceability of the information provided before the vote.
